1. Purpose and acceptance

This agreement (the “Agreement”) governs the use of the ADM Scope software (the “Software”), published by WM STUDIOS (the “Publisher”), in all its forms: standalone app and plugin (VST3, Audio Unit) for digital audio workstations (“DAWs”), on Windows and macOS, whatever the distribution channel (the Publisher's website, the Microsoft Store). By installing or using the Software, you (the “User”) accept this Agreement. If you do not accept it, do not install or use the Software.

The Software is licensed, not sold; the Publisher retains all rights not expressly granted to you.

2. Definitions

  • Trial period: a period of 14 days during which the Software may be used free of charge and without feature restrictions, on a given computer.
  • Licence: the right to use the Software beyond the Trial period, embodied by a licence key of the form ADM-XXXXX-XXXXX-XXXXX-XXXXX, issued by the Publisher on purchase, or offered by it.
  • Computer: a machine on which the Software is installed. The standalone app and the plugin installed on the same computer count as a single Computer.

3. Trial period

The Publisher grants you a free, non-exclusive and non-transferable licence to use the Software during the Trial period, in order to evaluate it.

  • Start: the Trial period starts the first time the Software is launched on a Computer. This first launch requires an Internet connection: the start date is recorded on the Publisher's licence server (see article 9).
  • One Trial period per Computer: uninstalling and reinstalling the Software, or switching from the app to the plugin, does not renew it.
  • End of the Trial period: the Software's interface is locked until a valid licence key is entered. In a DAW, the plugin keeps passing the audio through unchanged: your sessions are not interrupted. Your files and settings are kept.

4. Licence

Purchasing a Licence (see the Terms of Sale) grants you a non-exclusive, perpetual licence (one-time payment, no subscription) to use the Software, on the following terms:

  • Personal and professional use: you may use the Software for your own productions as well as for work carried out for third parties (clients, labels, studios), including on a commercial basis. The Licence is granted to a natural or legal person; only that person's own computers may use it.
  • 2 Computers at a time: the Licence can be active on 2 Computers at most at the same time (for example a studio computer and a laptop). You can release a Computer at any time from the Software (Menu › License), including a Computer you no longer have, in order to activate another one: the number of changes is not limited, only the number of active Computers is.
  • Online activation, then offline use: activating the key requires an Internet connection. After that, the Software works offline; an online check is made periodically, when a connection is available, and the Software remains usable for up to 30 days without a connection. This check concerns the Licence only.
  • Non-transferable: you may not resell, share, publish or redistribute your licence key.
  • Perpetual licence and updates: the Licence remains valid with no time limit. All updates of version 1 (1.x) are free. A future major version (2.0 and later) may require a separate paid licence; the version you use then remains usable with your Licence.
  • Offered licences: a Licence offered by the Publisher (for example to the testers of a beta version) confers the same rights as a purchased Licence, with no consideration.
  • Refund: a refunded Licence is revoked and can no longer be activated.

5. Restrictions

You agree not to, and not to allow any third party to: circumvent, disable or tamper with the licence or Trial period mechanism (in particular the key check, the registration of Computers or the trial start date); share, publish, resell or distribute a licence key; rent the Software or make it available to third parties as a service; redistribute the Software, modified or not, outside the Publisher's channels; use the trademarks, logos or the names “ADM Scope” or “WM STUDIOS” without permission. The rights you hold under the law, in particular the right to decompile for interoperability purposes (article L122-6-1 of the French Intellectual Property Code), are not limited by this article.

6. Intellectual property and third-party components

The Software, its code, its analysis methods, its interface and its documentation are the property of WM STUDIOS or its licensors and are protected by copyright. Your files remain yours: the Software reads them, it does not modify them, and the Publisher acquires no rights over them or over the reports you produce.

The Software includes third-party components distributed under their own licences (in particular libadm and libbw64 from the EBU, under the Apache 2.0 licence, libmysofa under the BSD licence, and the SADIE II measurement database from the University of York, under the Apache 2.0 licence). Their notices are in the THIRD-PARTY-NOTICES.txt file installed with the Software; their licences apply to those components. If you load your own measurement files (SOFA), complying with their licence is your responsibility.

7. Standards, trademarks and no affiliation

ADM Scope reads and analyses files in the ADM (Recommendation ITU-R BS.2076) and BW64 (ITU-R BS.2088) formats, open standards of immersive audio, including files produced for commercial immersive formats. Dolby and Dolby Atmos are trademarks of Dolby Laboratories. Any mention of compatibility with a third-party format, software or platform is purely factual: it implies no partnership, certification or endorsement by their owners. VST is a trademark of Steinberg Media Technologies GmbH. Audio Unit and macOS are trademarks of Apple Inc. Windows and Microsoft Store are trademarks of Microsoft Corporation.

8. Nature of the results

ADM Scope is a tool for inspecting, checking and comparing. Its results are provided to help you check your files; they replace neither your listening, nor your professional judgement, nor the validation tools required by a distributor, a platform or a client. In particular:

  • a check with no anomaly does not guarantee that a file will be accepted by a distribution platform or by a format owner's tool;
  • full-mix loudness measurements computed from a file are estimates, labelled as such in the Software;
  • playback on speakers and on headphones (binaural rendering) is a monitoring render, which is not the reference render of a commercial format.

9. Personal data

The Software processes your files only on your computer: no audio, no metadata from your files, no report and no usage data is sent to the Publisher. The Software only contacts the Publisher's licence server for the Trial period and the Licence. It then sends:

  • a Computer fingerprint, a pseudonymised identifier obtained by hashing, used only to tell your Computers apart;
  • the type of system (Windows or macOS);
  • the Computer name, as set in your system, so that you can recognise your Computers in the list shown when you release one. It is used for no other purpose, is only shown to whoever enters the corresponding licence key, and you can change it at any time in your system settings;
  • the licence key, when you enter one.

The details (purposes, retention periods, your rights) are in the licence privacy policy.

10. No warranty (“as is”)

To the extent permitted by law, the Software is provided “as is” and “as available”, without warranty of any kind as to its fitness for a particular purpose or its compatibility with a given DAW, system or file. It is your responsibility to keep backup copies of your files and sessions.

Important, consumer sales: this clause does not deprive the buyer of a Licence of the mandatory legal warranties applicable to that purchase (legal warranty of conformity, warranty against hidden defects, see the Terms of Sale). These legal warranties cannot be excluded.

11. Limitation of liability

To the extent permitted by law, the Publisher shall not be liable for indirect damage, in particular loss of business, data, revenue or clients, the rejection of a file by a third party, or a decision made on the strength of a result of the Software. Nothing in this Agreement limits the Publisher's liability in the event of fraud, gross negligence, personal injury, or in any other case where the law prohibits it.

12. Term and termination

The Agreement applies for as long as you use the Software. It ends automatically if you breach a substantial provision of it (in particular article 5); the Publisher may then revoke the licence key concerned. On termination, you must stop using the Software and uninstall it.

13. Geographic availability and excluded territories

The Software (Trial period and Licence) is not offered, licensed or intended to be installed or used in the United States of America, including its territories and possessions. By installing or using the Software, you declare that you are not located in or resident of the United States. The Publisher takes reasonable measures to prevent sales to that territory and reserves the right to refuse or revoke access obtained in breach of this article. This restriction may be lifted at a later date.

14. Governing law and disputes

This Agreement is governed by French law. For any dispute with a consumer, the protective jurisdiction rules of the French Consumer Code apply; any complaint is first settled amicably, directly with the Publisher, before recourse to the consumer mediator (see the Terms of Sale, article 12).
