Terms of Sale

Terms applicable to the services provided by WM STUDIOS.

1. Purpose

These Terms of Sale govern the services offered by WM STUDIOS, notably audio mastering, mixing, music production, sound post-production, recording, audio restoration, sound design and all associated technical services.

2. Scope

These Terms of Sale apply to any order placed by a client, whether an individual or a professional, via the WM STUDIOS website, by e-mail, contact form or any other means of communication.

Any order implies unreserved acceptance of these Terms of Sale.

3. Orders

An order becomes firm and final after written confirmation (e-mail, accepted quote or confirmation) and payment according to the agreed terms.

The client undertakes to provide usable files, free of viruses and compliant with the requested technical specifications. WM STUDIOS cannot be held liable for delays or defects resulting from incomplete, corrupted or non-compliant files.

Any significant change to the request after the order has been confirmed may lead to a revision of the price and the deadlines.

4. Rates

Prices are stated in euros (€).

WM STUDIOS benefits from the VAT-exemption threshold. Consequently, VAT is not applicable (Article 293 B of the French General Tax Code).

The applicable rates are those in force at the time the order is confirmed.

WM STUDIOS reserves the right to change its rates at any time, without retroactive effect on orders already confirmed.

5. Payment terms

Payment is made by bank transfer or any other means offered at the time of the order.

Unless otherwise agreed, full payment is required before delivery of the final files.

In the event of late payment, delivery may be suspended until the situation is settled.

6. Deadlines and delivery

Services are delivered exclusively in digital format (WAV, MP3, DDP, stems or any other agreed format).

The deadlines communicated are given for guidance only and may vary depending on :

  • the complexity of the project;
  • the studio's workload;
  • the client's response times;
  • any requests for modification.

WM STUDIOS cannot be held liable for a delay attributable to the client.

7. Revisions

Unless otherwise stated in the quote or commercial offer, each service includes two revisions.

Any additional request or significant modification (new mix, new files, major artistic change, new version, etc.) may be subject to additional billing.

8. Right of withdrawal

In accordance with Article L221-28 of the French Consumer Code, the client acknowledges that the right of withdrawal ends once the performance of the service has begun, with the client's prior agreement.

The service is deemed to have begun as soon as the files transmitted by the client are opened, analysed or processed.

9. Liability

WM STUDIOS is bound by an obligation of means.

Its liability cannot be engaged in the event of :

  • loss of income or profits;
  • indirect damages;
  • incompatibility with third-party hardware or software;
  • a defect arising from the files provided by the client;
  • artistic or creative choices that are the client's sole responsibility.

The client remains solely responsible for the content they transmit and warrants that they hold all the rights necessary for its exploitation.

10. Intellectual property

WM STUDIOS retains ownership of its working methods, tools, templates, presets, processing chains and know-how.

The rights to the client's works remain the property of the client.

Unless the client objects in writing before delivery, WM STUDIOS may cite completed projects as professional references (website, portfolio, social media or commercial communication), without disclosing confidential information or releasing the working files.

11. Project archiving

Working files are kept for a period of up to 6 months after delivery.

Beyond this period, WM STUDIOS no longer guarantees their retention and may delete them without notice.

The client is advised to back up the delivered files immediately.

12. Force majeure

WM STUDIOS cannot be held liable for non-performance resulting from an event of force majeure within the meaning of French law (major breakdown, natural disaster, fire, network outage, serious illness, etc.).

13. Governing law and disputes

These Terms of Sale are governed by French law.

In the event of a dispute, the parties will endeavour to seek an amicable solution before any legal proceedings.

Failing an amicable agreement, the competent French courts shall have sole jurisdiction, subject to any mandatory legal provision to the contrary.
